PMG360 Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your use of the services provided by PMG360 ("Company," "we," "us," or "our"). By engaging with our services, you agree to comply with and be bound by these Terms. Please read them carefully. If you do not agree to these Terms, you should not use our services.

2. Services

PMG360 offers a variety of marketing services including, but not limited to:

- CRM Services

- Website Design

- Marketing Consulting

- Email Marketing

- Lead Generation

- Content Development and Consulting

- Data Licensing

- Data Hygiene/Update

3. Definitions

- "Client" refers to any individual or entity that uses PMG360's services.

- "Services" refers to all the services listed above, and any other services provided by PMG360.

- "Agreement" refers to the contract between the Client and PMG360 under these Terms.

4. Service Terms

4.1 CRM Services

We provide CRM (Customer Relationship Management) services which include the implementation, customization, and management of CRM platforms. The Client is responsible for providing accurate and complete information required for CRM setup.

4.2 Website Design

Our website design services include the creation and development of websites. The Client must provide all necessary content and approvals in a timely manner. Any changes or additional requests may incur additional charges.

4.3 Marketing Consulting

Marketing consulting services include strategic planning, market analysis, and campaign development. The Client agrees to provide all relevant information and access to necessary resources.

4.4 Email Marketing

We offer email marketing services which include the creation, management, and analysis of email campaigns. The Client must ensure that all email recipients have given appropriate consent to receive emails.

4.5 Lead Generation

Lead generation services involve identifying and attracting potential customers. The Client agrees to follow up with leads in a timely manner. PMG360 does not guarantee the conversion of leads.

4.6 Content Development and Consulting

Content development services include creating written, visual, and multimedia content. The Client must provide clear guidelines and feedback. Revisions may be subject to additional fees.

4.7 Data Licensing

Data licensing services involve the provision of data sets for marketing purposes. The Client agrees to use the data in accordance with all applicable laws and regulations.

4.8 Data Hygiene/Update

Data hygiene and update services include cleaning, updating, and maintaining data accuracy. The Client must provide access to relevant data and systems.

5. Payment Terms

- All services are billed according to the rates specified in the Agreement.

- Payments are due upon receipt of the invoice, unless otherwise agreed.

- Late payments may incur interest charges and/or suspension of services.

6. Client Responsibilities

- Provide accurate and complete information necessary for the provision of services.

- Respond promptly to PMG360’s requests for approvals, content, and feedback.

- Ensure compliance with all applicable laws and regulations, particularly in relation to data privacy and email marketing.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the Agreement. This obligation will continue for two years after the termination of the Agreement.

8. Intellectual Property

PMG360 retains all rights, titles, and interests in any intellectual property created during the provision of services. The Client is granted a non-exclusive, non-transferable license to use the deliverables for their intended purpose.

9. Limitation of Liability

PMG360’s liability is limited to the amount paid by the Client for the services in question. We are not liable for any indirect, incidental, or consequential damages arising out of or related to the use of our services.

10. Termination

Either party may terminate the Agreement with 90 days' written notice. Upon termination, the Client must pay for all services rendered up to the date of termination.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction Monmouth County, New Jersey, in which PMG360 is located, without regard to its conflict of law principles.

12. Dispute Resolution

Any disputes arising out of or relating to these Terms shall be resolved through good faith negotiations. If the dispute cannot be resolved, it shall be submitted to binding arbitration in the jurisdiction where PMG360 is located.

13. Amendments

PMG360 reserves the right to amend these Terms at any time. Any changes will be communicated to the Client and will become effective upon such communication.

14. Miscellaneous

- These Terms constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior agreements and understandings.

- If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
